SCT will be an operating unit of SunGard Public Sector and Nonprofit Systems, and will continue to be led by Mike Chamberlain, SCT's president and chief executive officer. The consummation of the transaction is subject to the approval of SCT's stockholders and other customary conditions, including the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. The transaction is expected to be completed in the first quarter of 2004.
